Milestone Pharmaceuticals Inducement Grants Announcement

MONTREAL and CHARLOTTE, N.C., Feb. 03, 2026 (GLOBE NEWSWIRE) -- Milestone Pharmaceuticals Inc. (Nasdaq: MIST) (the “Company” or “Milestone”), today announced that the Company granted equity awards, in the form of a total of 419,000 options (the “Options”) to purchase the Company’s common shares, pursuant to the Company’s 2021 Inducement Plan (the “Plan”), previously approved by the Company’s Compensation Committee and the Board of Directors, as a material inducement to the hiring of two new employees. 

Milestone Pharmaceuticals, a clinical-stage biopharmaceutical company, has announced the grant of inducement awards under Nasdaq Listing Rule 5635(c)(4) as part of its compensation approach. This strategy includes the issuance of stock options to new employees which are primarily aimed at attracting a skilled workforce that aligns with the company’s mission and vision.

These inducement grants involved options on 484,250 common shares of Milestone Pharmaceuticals, allowing recipients to purchase shares at an exercise price equal to the closing price of the company's common shares on the date of the grant. This is a part of an ongoing effort to motivate and retain key personnel who will contribute to the company's innovative healthcare solutions.

The options will vest over a period of four years, with 25 percent of the options becoming exercisable after one year of service. This structure is intended to promote long-term commitment and aligns employees' interests with those of investors.
